C.H. Robinson (Nasdaq: CHRW) and RXO (NYSE: RXO) have entered into a definitive agreement under which C.H. Robinson will acquire RXO in a stock-and-cash transaction.

Combining C.H. Robinson’s global, multi-modal platform with RXO’s North American brokerage, expedited and last-mile capabilities will allow the combined company to provide more tailored solutions to customers across a larger, denser network.

Transaction Details

Creates a combined company with an enterprise value of more than $25 billion

RXO shareholders to receive $17.25 per share in cash and 0.0856 of C.H. Robinson stock per share for an implied total consideration of $30.25 per share1

Expected to close in the first half of 2027, subject to customary closing conditions, including regulatory approval and approval from RXO’s shareholders
